1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Naviro Inc., a Delaware corporation with its principal place of business at 68 Richardson Street, Brooklyn, New York, 11211 ("Naviro," "we," "us," or "our"), governing your access to and use of the Naviro platform, including our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" in these Terms will refer to that organization.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password

  • Not share your account credentials with others

  • Notify us immediately at support@naviro.ai of any unauthorized access or security breach

  • Accept responsibility for all activities conducted through your account

3.3 Account Accuracy

You agree to provide accurate information and not to impersonate any person or entity, misrepresent your affiliation with any person or entity, or use false identities.

4. Subscription Plans and Pricing

Naviro offers the following subscription plans. All prices are in USD and billed monthly unless otherwise specified.

4.1 Starter Plan - $49/month

  • Seats: 1 user

  • Post Ideas: 3 per day

  • Media Generations: 2 per week

  • Profiles: 1 social media profile

  • Chrome Extension: Unlimited usage

4.5 Pricing Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' notice of any price increases.

5. Billing and Payment

5.1 Payment Authorization

By subscribing to a paid plan, you authorize Naviro to charge your designated payment method on a recurring basis according to your selected billing cycle (monthly or annual). Payment processing is handled by our third-party payment processor, Stripe.

5.2 Billing Cycle

Subscriptions are billed in advance on a recurring basis according to your selected billing frequency. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.3 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, we may suspend or terminate your access to the Service. You remain responsible for any outstanding amounts owed.

5.4 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments, including value-added tax, sales tax, use tax, and withholding tax. You are responsible for paying all such taxes associated with your subscription.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@naviro.ai. Upon cancellation:

  • You will retain access to the Service until the end of your current billing period

  • Your subscription will not automatically renew

  • You must complete and pay for your current billing period

  • No prorated refunds will be issued for partial billing periods

6.2 Refund Policy

All subscription fees are non-refundable except at our sole discretion. We may, on a case-by-case basis, issue refunds for extenuating circumstances. To request a refund, contact support@naviro.ai with your account details and reason for the request.

6.3 Free Trials

If we offer a free trial, you will have access to the Service for the trial period specified at sign-up. At the end of the trial, your payment method will be charged automatically unless you cancel before the trial ends.

7. Acceptable Use and Prohibited Conduct

7.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for your use of the Service and any content you create, post, or share through the Service.

7.2 Prohibited Conduct

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights

  • Use the Service for any illegal, harmful, fraudulent, or deceptive purpose

  • Post, transmit, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically, or otherwise objectionable

  • Engage in hate speech, harassment, bullying, or discrimination of any kind

  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

  • Interfere with or disrupt the Service, servers, or networks connected to the Service

  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks

  • Use any automated means (including bots, scrapers, or spiders) to access the Service without our express written permission

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service

  • Remove, circumvent, disable, damage, or otherwise interfere with security-related features of the Service

  • Abuse your subscription plan's usage allowances or limits (post ideas, media generations, API calls, etc.)

  • Resell, white-label, or redistribute the Service or any portion thereof without our express written permission (contact support@naviro.ai for authorization)

  • Use the Service to compete with Naviro or develop a competing product

  • Upload or transmit viruses, malware, or any other malicious code

  • Collect or harvest any personally identifiable information from the Service without consent

  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks

7.3 Usage Limits and Fair Use

Each subscription plan includes specific usage limits (post ideas per day, media generations per week, AI chat messages, etc.). We reserve the right to monitor usage and enforce these limits. If you consistently exceed your plan's allowances or engage in abusive usage patterns, we may:

  • Notify you via email and request that you reduce usage or upgrade your plan

  • Temporarily throttle or limit your access to certain features

  • Suspend or terminate your account if abuse continues

We will make reasonable efforts to notify you before taking action, except in cases of severe abuse or security threats.

8. Intellectual Property Rights

8.1 Naviro's Intellectual Property

The Service, including all content, features, functionality, software, code, designs, graphics, logos, trademarks, and other materials, is owned by Naviro and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes in accordance with these Terms. This license does not include any right to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content, software, products, or services obtained from the Service

  • Use the Service or any content for any commercial purpose not expressly permitted by these Terms

  • Use Naviro's trademarks, logos, or branding without our express written permission

8.2 User Content Ownership

By using the Service, you acknowledge and agree that:

  • All content you create, generate, or produce using the Service, including but not limited to social media strategies, content drafts, reports, analytics, AI-generated content, and any other materials ("User Content"), is owned exclusively by Naviro.

  • You grant Naviro a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display all User Content for any purpose, including improving the Service, developing new features, and marketing.

  • Naviro retains all rights, title, and interest in and to all User Content, including all intellectual property rights therein.

8.3 AI-Generated Content

All content generated by artificial intelligence through the Service, including text, images, strategies, recommendations, and insights ("AI-Generated Content"), is owned exclusively by Naviro. You may use AI-Generated Content for your personal or business purposes in connection with your use of the Service, but you acknowledge that Naviro retains all ownership rights.

8.4 Social Media Data

You grant Naviro a license to access, collect, store, analyze, and use data from your connected social media accounts as necessary to provide the Service. This includes profile data, posts, engagement metrics, audience data, and analytics. This license terminates when you disconnect your social media accounts or delete your Naviro account, subject to our data retention policies.

8.5 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant Naviro a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

9. Third-Party Services and Platforms

9.1 Social Media Platforms

The Service integrates with third-party social media platforms, including Instagram, TikTok, X (formerly Twitter), LinkedIn, and others (collectively, "Third-Party Platforms"). Your use of Third-Party Platforms through the Service is subject to the terms of service and policies of those platforms.

9.2 Platform Changes and Availability

Third-Party Platforms may change their APIs, terms of service, features, or availability at any time without notice. We are not responsible for:

  • Changes, interruptions, or discontinuation of Third-Party Platform services

  • Third-Party Platform outages, downtime, or technical issues

  • Changes to Third-Party Platform APIs that affect the Service's functionality

  • Third-Party Platform policy changes that restrict or prohibit certain features

We will make reasonable efforts to notify you within 24 hours of any significant Third-Party Platform outages or changes that materially affect the Service.

9.3 No Liability for Third-Party Platforms

Naviro is not liable for any loss, damage, or issues arising from Third-Party Platform changes, outages, policy violations, or account suspensions. You acknowledge that your use of Third-Party Platforms carries inherent risks, and you use them at your own risk.

9.4 Third-Party Services

The Service may contain links to or integrate with other third-party services, websites, or applications. We do not endorse, control, or assume responsibility for third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

10. Service Availability and Modifications

10.1 Service Availability

We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will be available at all times or without interruption. The Service is provided "as-is" and "as available" without any warranties or service level agreements (SLAs) regarding uptime or availability.

10.2 Maintenance and Downtime

We may perform scheduled or emergency maintenance that temporarily interrupts access to the Service. We will make reasonable efforts to provide advance notice of scheduled maintenance but are not obligated to do so.

10.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. This includes adding or removing features, changing usage limits, or altering functionality. We are not liable for any modifications, suspensions, or discontinuations of the Service.

10.4 Beta Features

We may offer beta, experimental, or preview features that are not fully tested or supported. These features are provided "as-is" without warranties and may be changed or discontinued at any time. Use of beta features is at your own risk.

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting support@naviro.ai. Upon termination, you will retain access until the end of your current billing period, after which your account and data will be subject to our data retention policies as described in our Privacy Policy.

11.2 Termination by Naviro

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms or our Acceptable Use Policy

  • Abusive, fraudulent, or illegal use of the Service

  • Hate speech, harassment, or harmful conduct

  • Non-payment of fees

  • Excessive or abusive usage that impacts Service performance

  • Conduct that damages Naviro's reputation or business

  • Any other conduct that we determine, in our sole discretion, to be inappropriate or harmful

11.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service will immediately cease

  • You will lose access to all User Content, data, and materials associated with your account

  • We may delete your account data in accordance with our Privacy Policy (typically within 30 days)

  • You remain responsible for all fees and charges incurred prior to termination

  • Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions

11.4 No Refunds Upon Termination

If we terminate your account for violation of these Terms, you will not be entitled to any refund of prepaid fees.

12. Disclaimers and Warranties

12.1 No Warranties

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

NAVIRO DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free

  • The results obtained from using the Service will be accurate or reliable

  • Any errors or defects in the Service will be corrected

  • The Service will meet your requirements or expectations

  • Any content, data, or information obtained through the Service will be accurate, complete, or reliable

12.2 AI-Generated Content Disclaimer

AI-generated content is produced by machine learning models and may contain errors, inaccuracies, biases, or inappropriate content. You are solely responsible for reviewing, editing, and verifying all AI-generated content before using or publishing it. Naviro is not responsible for any consequences arising from your use of AI-generated content.

12.3 Social Media Platform Disclaimer

We do not guarantee the accuracy, completeness, or timeliness of data collected from Third-Party Platforms. Social media analytics and metrics are subject to the accuracy and availability of Third-Party Platform APIs and may contain errors or delays.

12.4 No Professional Advice

The Service provides tools, analytics, and recommendations for informational purposes only. The Service does not constitute professional advice (legal, financial, marketing, or otherwise). You should consult with appropriate professionals before making business decisions based on information from the Service.

13. Limitation of Liability

13.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVIRO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO NAVIRO IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NAVIRO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities

  • Loss of data or content

  • Loss of goodwill or reputation

  • Cost of substitute services

  • Business interruption

  • Any other intangible losses

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED AND EVEN IF NAVIRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you, and our liability will be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Naviro, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service

  • Your violation of these Terms

  • Your violation of any rights of any third party

  • Your violation of any applicable laws or regulations

  • Any content you post, transmit, or share through the Service

  • Your use of AI-generated content or social media data

  • Any claim that your use of the Service caused damage to a third party

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

15.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

15.3 Class Action Waiver

YOU AND NAVIRO AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Unless both you and Naviro agree otherwise, the court may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

15.4 Time Limitation on Claims

You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Naviro regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

16.2 Amendments

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

16.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.5 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction. Any attempted assignment in violation of this section shall be void.

16.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No third party shall have any rights to enforce any provision of these Terms.

16.7 Force Majeure

Naviro shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.8 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Service. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.

16.9 U.S. Government Rights

If you are a U.S. government entity, the Service is a "commercial item" as defined in 48 C.F.R. §2.101, and is provided with only those rights as are granted to all other users under these Terms.

16.10 Notices

All notices to Naviro under these Terms shall be sent to:

16.11 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any conflict or inconsistency.

2.2 Social Media Data We Collect

When you connect your social media accounts, we collect and analyze:

  • Profile Data: Username, display name, bio, profile picture, follower/following counts, verification status

  • Content Data: Posts, captions, hashtags, mentions, media (images, videos), publication dates, engagement metrics (likes, comments, shares, views)

  • Audience Data: Publicly available information about your followers and commenters, including usernames, profile data, and engagement patterns

We only collect publicly available data or data you authorize us to access through official platform APIs. We do not access private messages or non-public content.
